Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Quest Digital, a sole proprietorship based in Atlanta, Georgia (“Quest Digital,” “we,” “us,” or “our”), governing your use of Oz, our website- management and analytics dashboard service (the “Service”), available at oz.questdigital.dev. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Oz is a hosted dashboard that lets clients of Quest Digital manage their websites, view inquiries from their contact forms, and review website analytics integrated from third-party providers (such as Google Analytics 4, Google Search Console, and Google Business Profile). Some tiers include site editing, image management, and AI- assisted content suggestions.

The exact features available to you depend on the subscription tier you select. Tier descriptions, included features, and pricing are presented at the point of sale and in your billing dashboard.

2. Accounts and eligibility

To use Oz you must be at least 18 years old and able to form a binding contract. By creating an account or accepting an invitation to one, you confirm that the information you provide is accurate and that you have authority to act on behalf of any business you represent.

You are responsible for keeping your credentials secure and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use of your account.

Oz is currently invitation-only. We do not offer public self-service signup. Quest Digital staff create or invite accounts at the start of an engagement.

3. Subscriptions, billing, and renewals

Most use of the Service requires an active subscription processed through Stripe. By subscribing, you authorize Quest Digital (through Stripe) to charge your designated payment method on a recurring basis until you cancel.

Setup fees, if applicable to your tier, are charged once at the start of your subscription unless waived by Quest Digital in writing.

You can view invoices, update your payment method, and access billing history through the Stripe Customer Portal linked from your dashboard. Plan changes and cancellations are not self-service within the portal; you can request either by submitting a support request from the Billing page, and a Quest Digital account manager will confirm and process it.

Fees are non-refundable except where required by law. When you downgrade or cancel, Stripe applies a prorated credit for the unused portion of your current period to your next invoice or final invoice, as applicable.

4. Acceptable use

You agree not to:

  • use the Service to violate any law, regulation, or third-party right;
  • upload content that is unlawful, hateful, harassing, defamatory, infringing, malicious, deceptive, or sexually explicit;
  • attempt to interfere with, disrupt, or gain unauthorized access to the Service or any related systems or networks;
  • reverse engineer, decompile, or otherwise attempt to derive source code from the Service, except to the extent applicable law expressly permits;
  • use the Service to send unsolicited bulk messages or otherwise harvest data without permission;
  • misrepresent your identity or your authority to act on behalf of any business or person;
  • use the Service in any way that would cause Quest Digital to breach our agreements with the third-party providers identified in our Privacy Policy.

5. Your content

You retain ownership of the content you submit to the Service (text, images, business information, and similar material). By submitting content, you grant Quest Digital a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, modify, and create derivative works of that content solely to operate and provide the Service to you. This license ends when you or we delete the content from the Service, except to the extent we are required to retain it by law.

You represent and warrant that you have all rights necessary to submit your content and that doing so does not violate any law or third-party right.

6. Third-party integrations

The Service connects with and depends on third-party providers, including Google, Microsoft, Stripe, and others. Your use of those providers’ services is subject to their own terms and policies. We are not responsible for the availability, accuracy, or behavior of third-party services.

When you connect a third-party account, you authorize us to access and use that account on your behalf only as described in our Privacy Policy and only to provide the features you have enabled. You may revoke that authorization at any time, as described in the Privacy Policy.

7. Intellectual property

Quest Digital and its licensors own all right, title, and interest in and to the Service, including the underlying software, the dashboard interface, and the marks “Oz” and “Quest Digital.” Nothing in these Terms transfers ownership of those rights to you. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your business purposes during the term of your subscription, subject to these Terms.

8. Suspension and termination

You may cancel your subscription at any time by submitting a support request from your Billing page. Cancellation takes effect at the end of the current billing period unless you specifically request immediate termination.

We may suspend or terminate your access immediately if we reasonably believe that you have violated these Terms, that your use of the Service poses a security or legal risk, or that we are required to do so by law. We will make reasonable efforts to notify you in advance unless doing so would compromise the security of the Service or others.

Upon termination, your right to use the Service ends, and we will handle your data as described in the Privacy Policy.

9. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Quest Digital disclaims all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data displayed within the dashboard will be accurate or complete. Analytics figures shown in Oz are subject to the accuracy and availability of the underlying third-party providers and may differ from the values shown in those providers’ own dashboards.

10. Limitation of liability

To the maximum extent permitted by law, in no event will Quest Digital be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising from or related to these Terms or the Service, whether in contract, tort, or otherwise, and even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for any claim arising from or related to these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim, or one hundred U.S. dollars, whichever is greater.

11. Indemnification

You agree to defend, indemnify, and hold harmless Quest Digital and its officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your content, (c) your violation of these Terms, or (d) your violation of any applicable law or third-party right.

12. Changes to the Service or these Terms

We may modify the Service from time to time, including by adding, removing, or changing features. We may also update these Terms. When we make material changes, we will revise the “Effective” date at the top of this page and notify you by email or by a notice in the dashboard. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you should stop using the Service.

13. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of laws principles. Any dispute arising from or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you and we consent to the personal jurisdiction of those courts.

14. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Quest Digital regarding the Service and supersede any prior agreements on the same subject. If any provision is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision does not waive our right to do so later. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
